1. Acceptance of Terms
1.1. Welcome to Podium. These Terms and Conditions (the "Agreement") form a binding contract between you and Podium. "You" and "user" mean any individual who accesses or uses the Podium app, the website at www.podiumsociety.com, or any related services (together, the "Services"). "Podium", "we", "us", and "our" mean PODIUM COLLECTIVE PTE. LTD. (UEN 202408881D), a company incorporated in Singapore.
1.2. By using the Services, you agree to this Agreement. It applies to anyone who accesses or uses the Services, whether or not you have created an account. If you do not agree to all of these terms, you may not use the Services.
1.3. You must be at least 18 years old to use the Services. By using them, you confirm that you are at least 18.
2. Privacy
By using the Services, you also agree to our Privacy Policy, which explains how we collect, use, and protect your personal information. Please review it.
3. Service Overview
3.1. Podium is an events marketplace. Through the app and website, you can browse, book, and pay for events that we or our partners host. We may also recommend events based on the information you choose to share with us.
3.2. We provide the platform that lets you discover and book events. We do not guarantee that any particular event will take place, that any venue will be available, or that an event will meet your expectations. Any reliance on the information, recommendations, or suggestions provided through the Services is at your own risk.
3.3. We do not screen attendees or run background checks, and we do not routinely verify the accuracy of information that users provide. You are responsible for your own safety and conduct at any event you attend. We may investigate a user's identity at our discretion to detect and prevent fraud.
4. Accounts and License to Use the App
4.1. To book events, you may need to create an account. You agree to provide accurate information and to keep it up to date. You are responsible for activity that happens under your account, and you may not let anyone else use it.
4.2. We grant you a limited, personal, non-exclusive, non-transferable, and revocable license to download and use the app for your own personal, non-commercial use. You do not own the app. All rights not expressly granted to you are reserved by Podium.
5. Payments, Refunds, and Cancellations
5.1. Prices and payment. Podium is an events marketplace. You pay only for the individual events you book. Each booking is a one-time payment. Event prices are shown in Singapore Dollars (SGD) and may include applicable taxes. We process payments through a third-party payment processor. By booking an event, you authorise us and our processor to charge your chosen payment method for the total amount shown at checkout.
5.2. Cancellation by you. You may cancel a booking and receive a full refund if you cancel at least 48 hours before the event start time. Cancellations made within 48 hours of the event are not refundable, unless stated otherwise on the event listing.
5.3. Cancellation or changes by us. If we cancel an event, we will give you a full refund of the amount you paid for that event. If we make a material change to an event, such as the date, time, or location, you may cancel that booking for a full refund.
5.4. Refund method. Refunds are returned to your original payment method within a reasonable time. We are not responsible for delays caused by your bank or payment provider.
6. Acceptable Use
We ask all users to treat others with respect and to help keep the Services safe and enjoyable.
6.1. You agree to:
Provide accurate and truthful information when you use the Services.
Report inappropriate behaviour, harassment, or illegal activity to us at support@podiumsociety.com.
Comply with all applicable laws in your use of the Services and at any event, including laws relating to alcohol.
6.2. You agree not to:
Engage in illegal, violent, harassing, hateful, or disrespectful behaviour in your use of the Services or at any event.
Let anyone other than you use your account.
Misrepresent yourself, including as to your age, identity, or affiliations.
Collect data from or access the Services using automated tools such as bots, scrapers, or spiders.
Advertise any product or service through the Services or at any event.
Collect or solicit personal information from other users for commercial or unlawful purposes.
Send spam to Podium or to any other user.
Interfere with, disrupt, or attempt to gain unauthorised access to the Services, or reverse engineer any part of the app.
7. Event Conduct and Safety
7.1. Any event you attend, and any interaction that results from using the Services, is your own responsibility. You attend at your own risk.
7.2. Because we do not screen attendees or verify user information, you are responsible for verifying the suitability and safety of any event and for taking sensible precautions for your own safety.
7.3. We may remove you from an event, or suspend your access, if your behaviour puts the safety or enjoyment of others at risk.
8. User Content
8.1. The Services may let you submit content, such as a profile photo, messages, or feedback ("User Content"). You keep ownership of your User Content.
8.2. By submitting User Content, you grant Podium a worldwide, royalty-free, non-exclusive license to host, store, use, reproduce, and display it for the purpose of operating and improving the Services.
8.3. You are responsible for your User Content, and you confirm that you have the rights to share it and that it does not break any law or these terms. We may remove User Content at our discretion.
9. Intellectual Property
The Services, including all associated intellectual property rights, are the exclusive property of Podium. Except for the license granted in Section 4.2, you agree not to download, copy, use, or distribute any text, images, trademarks, data, or other intellectual property of Podium without our permission.
10. Third-Party Links and Services
The Services may contain links to third-party websites or services, or may direct you out of the app to them. We do not control and are not responsible for third-party sites or services, including their content or their handling of your data. Using them is at your own risk and subject to their own terms.
11. App Store Terms
11.1. You download the app from the Apple App Store or Google Play, and your use of it is also subject to the terms of the store you use.
11.2. The following apply to the app obtained through the Apple App Store:
This Agreement is between you and Podium only, and not with Apple. Apple is not responsible for the app or its content.
Apple has no obligation to provide any maintenance or support for the app.
If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price of the app, if any. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
Podium, and not Apple, is responsible for addressing any claims relating to the app, including product liability claims, claims that the app fails to meet a legal requirement, and claims under consumer protection or privacy law.
Podium, and not Apple, is responsible for investigating and resolving any third-party claim that the app infringes that party's intellectual property rights.
You confirm that you are not located in a country subject to a US Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any US Government list of prohibited or restricted parties.
Apple and its subsidiaries are third-party beneficiaries of this Agreement, and Apple has the right to enforce it against you.
11.3. If you obtain the app through Google Play, you agree to comply with the Google Play Terms of Service.
12. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we make no warranties of any kind, whether express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any event will meet your expectations.
13. Limitation of Liability
To the maximum extent permitted by law, Podium will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Services or your attendance at any event. Our total liability for any claim relating to the Services or an event will not exceed the greater of the total amount you paid to Podium in the 12 months before the claim, or SGD 100.
14. Indemnification
You agree to indemnify and hold harmless Podium and its officers, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, your User Content, your attendance at any event, your interactions with other users, or your breach of this Agreement.
15. Termination
15.1. We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have breached this Agreement, violated any law or third-party right, or if we need to protect the safety or property of Podium, its users, or others.
15.2. You may stop using the Services at any time and delete your account directly in the app (see your Privacy settings).
15.3. Sections that by their nature should survive termination will survive, including Sections 9 (Intellectual Property), 12 (Disclaimer of Warranties), 13 (Limitation of Liability), 14 (Indemnification), and 16 (Dispute Resolution), along with any payment obligations you owe us.
16. Governing Law and Dispute Resolution
16.1. This Agreement is governed by the laws of Singapore.
16.2. Any dispute arising out of or relating to this Agreement or the Services shall be subject to the exclusive jurisdiction of the courts of Singapore.
17. Feedback
We welcome your feedback, comments, and suggestions at support@podiumsociety.com. You agree that we may use your feedback without any obligation to credit or compensate you.
18. Changes to These Terms
We may update this Agreement from time to time. We will post the latest version on this page and update the date above. For significant changes, we may notify you by email or in the app. Continued use of the Services after changes take effect means you accept the revised terms.
19. Miscellaneous
19.1. Severability. If any provision of this Agreement is found invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will stay in full effect.
19.2. No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
19.3. Assignment. We may assign this Agreement in connection with a merger, acquisition, or sale of assets. You may not assign it without our consent.
19.4. Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including the cancellation of an event due to such causes.
19.5. Headings. Headings are for convenience only and do not affect the meaning of these terms.
19.6. Entire agreement. This Agreement and the Privacy Policy are the entire agreement between you and Podium regarding the Services.
